Terms of Use (SaaS Agreement)

These Terms of Use ("Terms") govern access to and use of the services provided by melino GmbH, located at Grasweg 37, 33415 Verl, Germany ("melino", "Company", "we", "us", or "our").

By accessing or using our website, mobile applications (iOS and Android), APIs, or any related services (collectively, the "Service"), you agree to be bound by these Terms.

1. Scope of Services

melino provides a cloud-based platform designed for music labels, publishers, and artists. The Service includes, but is not limited to:

  • Label and catalog management
  • Royalty calculations and financial reporting
  • Contract management and electronic signatures
  • Artist portal access
  • Financial analytics
  • Integration with third-party systems (e.g., aggregators, ERP systems, payment providers)
  • API access

The Service is provided on an "as-is" and "as-available" basis.

2. Eligibility and Accounts

The Service is available to both businesses (B2B) and individual artists.

  • Users may create accounts through the Artist Portal or via contractual onboarding.
  • Each account is intended for a single user.
  • Users are responsible for maintaining the confidentiality of their credentials.
  • Users are fully responsible for all activities conducted through their account.

3. Free Access and Commercial Terms

  • The Service may be provided free of charge, including unlimited-duration free access.
  • melino may enter into separate enterprise agreements with certain customers.
  • Unless otherwise agreed in writing, no refunds apply.

4. User Data and Content

Users may upload and manage various types of content, including:

  • Music files
  • Metadata
  • Contracts and legal documents
  • Financial and royalty data

Ownership

Users retain full ownership of all content they upload.

Responsibility

Users are solely responsible for:

  • The accuracy, completeness, and legality of their data
  • Ensuring they hold all necessary rights to uploaded content

melino does not verify or validate user-provided data.

5. Intellectual Property and Rights

By using the Service, users represent and warrant that:

  • They own or have the necessary rights to all uploaded content
  • Their use of the Service does not infringe any third-party rights

melino is not responsible for any copyright infringement or misuse of intellectual property by users.

6. Financial Data and Calculations Disclaimer

The Service may provide:

  • Royalty calculations
  • Financial reports
  • Forecasts and analytics

These outputs are provided for informational purposes only.

melino:

  • Does not guarantee accuracy or completeness
  • Does not provide financial, legal, or accounting advice

Users are solely responsible for verifying all financial data and decisions.

7. Third-Party Integrations

The Service may integrate with third-party platforms, including:

  • Music distribution aggregators
  • Enterprise resource planning (ERP) systems
  • Payment providers

melino is not responsible for:

  • Failures, errors, or downtime of third-party services
  • Data loss or inconsistencies caused by integrations

Use of third-party services is at the user's own risk.

8. Availability and Service Performance

The Service is provided on a best-effort basis.

melino does not guarantee:

  • Continuous availability
  • Error-free operation
  • Specific uptime levels

We may perform maintenance, updates, or changes at any time without prior notice.

9. Limitation of Liability

To the fullest extent permitted by law:

  • melino's total liability is limited to the amount paid by the user for the Service in the preceding 12 months (if any).

melino shall not be liable for:

  • Indirect or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Data loss or corruption
  • Errors in royalty calculations or financial reporting
  • Third-party failures

Users acknowledge that they use the Service at their own risk.

10. Termination

  • Users cannot freely terminate their accounts unless otherwise agreed contractually.
  • melino will not arbitrarily suspend accounts but reserves the right to act in cases of legal violations or abuse of the Service.

11. Data Retention After Termination

After termination of access:

  • Users may request export of their data for up to 30 days.
  • After this period, melino may delete stored data permanently.

12. Acceptable Use

Users agree not to:

  • Upload unlawful, infringing, or fraudulent content
  • Misuse the platform for unauthorized purposes
  • Interfere with system integrity or security

13. Platform Coverage

These Terms apply to all access points, including:

  • Website
  • Mobile applications (iOS and Android)
  • APIs and integrations

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Germany.

15. Changes to Terms

melino may update these Terms from time to time.

Continued use of the Service after changes constitutes acceptance of the updated Terms.
